These Terms of Service (“Terms”) govern your access to and use of this website, online store, products, services, documents, communications, and transactions offered by Av8r Capital Group Corp d/b/a Mini-Max USA (“Mini-Max USA,” “we,” “us,” or “our”).

By accessing this website, placing an order, creating an account, submitting payment, communicating with Mini-Max USA, using any Mini-Max USA product or information, or purchasing any kit, plan, part, material, service, document, used aircraft, partial project, or related item, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use this website or purchase from Mini-Max USA.

1. Relationship to Other Agreements

These Terms apply to your use of this website and to purchases made through Mini-Max USA. They work together with any invoice, quote, checkout terms, product listing, purchase agreement, addendum, release of liability, assumption of risk, indemnification agreement, license agreement, or other written agreement applicable to your transaction.

If a separate written agreement signed by Mini-Max USA applies to your purchase, that signed agreement controls over these Terms only to the extent of a direct conflict. All other provisions remain in effect.

Mini-Max USA’s master purchase agreement is written for kits, used aircraft, partial projects, plans, parts, builder-assist services, assigned serial numbers, and related transactions, and states that transaction-specific details are handled through an addendum.

2. Eligibility to Purchase

By placing an order, you represent that you are at least 18 years old, have legal authority to enter into a binding agreement, and are purchasing for lawful purposes.

Mini-Max USA may refuse service, reject an order, cancel an order, require additional documentation, require a signed agreement, require identification, require full payment, or impose additional terms at our discretion.

We may refuse or cancel any order if we believe the order involves fraud, unauthorized resale, export concerns, payment risk, safety concerns, misuse of proprietary materials, inaccurate customer information, abusive conduct, or any other issue that may create risk for Mini-Max USA.

3. Aviation Risk and Buyer Responsibility

Mini-Max USA products are aviation-related. Ultralight, experimental, amateur-built, plans-built, recreational, and sport aviation activities are inherently dangerous and may result in serious bodily injury, permanent disability, death, property damage, financial loss, and third-party claims.

By purchasing from Mini-Max USA, you acknowledge that aviation products are not ordinary consumer goods. Kits, plans, parts, materials, components, projects, used aircraft, and related information may require substantial skill, inspection, judgment, assembly, adjustment, repair, maintenance, independent verification, and compliance before use.

You are solely responsible for inspection, inventory, assembly, fabrication, covering, paint, installation, modification, repair, storage, transport, engine selection, propeller selection, avionics and electronics selection, weight and balance, center of gravity, control systems, structural integrity, registration, certification, inspection, operating limitations, flight testing, pilot qualifications, pilot training, maintenance, and lawful operation.

Any technical support, recommendation, diagram, discussion, opinion, or builder-assist guidance from Mini-Max USA is advisory only and does not constitute engineering certification, mechanic approval, airworthiness approval, inspection signoff, legal advice, regulatory advice, or flight instruction. This follows the responsibility structure used in Mini-Max USA’s master agreement, which states that the buyer alone is responsible for inspection, assembly, completion, maintenance, certification, testing, and legal operation.

4. Custom Made-to-Order Products

Most Mini-Max USA products are custom made, custom cut, custom fabricated, special ordered, allocated, packaged, prepared, or produced specifically for a particular buyer, aircraft, project, order, or transaction.

Once materials are ordered, parts are cut, fabrication begins, plans or documents are issued, products are allocated, supplier orders are placed, packaging begins, administrative processing occurs, or other order-specific work begins, the order is non-cancellable, non-returnable, and non-refundable unless Mini-Max USA expressly agrees otherwise in writing.

Lead times, production timelines, supplier timelines, completion estimates, shipping estimates, and delivery dates are estimates only. They are not guaranteed unless expressly stated in a signed writing by Mini-Max USA.

5. Orders, Acceptance, and Payment

Submitting an order does not mean Mini-Max USA has accepted the order. We may accept, reject, modify, delay, or cancel an order at our discretion.

Payment terms are determined by the applicable product listing, invoice, quote, checkout page, written agreement, or signed addendum. We may require deposits, partial payments, progress payments, full payment before fabrication, or full payment before shipment.

Orders may not be released, shipped, delivered, assigned, or made available until payment has cleared in full, unless Mini-Max USA agrees otherwise in writing.

If you fail to make payment when due, refuse delivery, delay pickup, reverse payment, improperly dispute payment, provide inaccurate information, breach these Terms, or fail to complete the transaction, Mini-Max USA may cancel the order, retain deposits and prior payments to the fullest extent permitted by law, withhold delivery, recover unpaid balances, charge storage fees, pursue collection, recover costs, and pursue any legal or equitable remedy available.

6. Deposits, Cancellations, Returns, and Refunds

All sales are final unless Mini-Max USA expressly agrees otherwise in writing.

Because Mini-Max USA products are aviation-related and because we cannot verify what has happened to a product after it has shipped, we do not accept returns after shipment.

Deposits and partial payments are non-refundable once materials are ordered, parts are cut, fabrication begins, plans or documents are issued, items are allocated, special-order items are secured, or work begins on an order. Mini-Max USA’s master agreement similarly states that custom-cut, custom-fabricated, special-order, or allocated materials are non-cancellable and non-returnable.

Plans, drawings, manuals, digital files, printed documents, templates, and proprietary technical materials are non-returnable and non-refundable once issued, shipped, emailed, downloaded, accessed, or otherwise made available.

No refund will be issued because a buyer changes their mind, cancels a project, experiences financial difficulty, selects the wrong item, finds another supplier, disagrees with lead times, no longer needs the product, refuses delivery, fails to accept shipment, or fails to complete payment.

7. Shipping, Delivery, Pickup, and Risk of Loss

Shipping, delivery, and pickup terms are determined by the applicable product listing, invoice, quote, purchase agreement, addendum, or written communication from Mini-Max USA.

Unless otherwise agreed in writing, risk of loss passes to the buyer upon the earliest of physical delivery to the buyer, pickup by the buyer, pickup by a carrier or transporter, or placement into storage pending buyer pickup after notice. This is consistent with Mini-Max USA’s master agreement, which states that risk of loss passes upon delivery, pickup, carrier pickup, or placement into storage pending pickup.

The buyer is responsible for shipping insurance unless Mini-Max USA expressly agrees otherwise in writing. Mini-Max USA is not responsible for carrier damage after risk of loss has passed.

The buyer must inspect all shipments promptly. Any claim for obvious shortage, incorrect shipment, or shipping damage must be made in writing within five calendar days of delivery. Failure to provide written notice within that time may result in denial of the claim.

8. Product Descriptions, Photos, and Specifications

Mini-Max USA makes reasonable efforts to describe products accurately. However, descriptions, photos, videos, drawings, specifications, weights, measurements, diagrams, prices, availability, compatibility statements, and lead times may change and may not be complete.

Photos may show optional equipment, completed aircraft, prototype parts, customer projects, prior versions, third-party components, unavailable items, or items not included with a specific purchase.

Unless expressly listed as included in a written order, invoice, addendum, or signed agreement, items such as engines, propellers, redrives, instruments, avionics, batteries, wiring, electronics, covering, paint, upholstery, additional hardware, transport, assembly labor, certification, registration, and inspection services are not included.

Mini-Max USA may modify, improve, substitute, discontinue, or change products, suppliers, materials, specifications, pricing, and availability at any time without prior notice.

9. Used Aircraft, Partial Projects, and Used Parts

Used aircraft, partial aircraft projects, previously started builds, used parts, and secondhand materials are sold as-is, where-is, with all faults unless Mini-Max USA expressly states otherwise in a signed writing.

These items may be incomplete, altered, aged, damaged, nonconforming, missing components, improperly stored, previously repaired, modified, or worked on by persons not affiliated with Mini-Max USA. Mini-Max USA may have limited or no knowledge of prior workmanship, storage history, hidden defects, missing items, modifications, repairs, or operational history.

Any statement about condition, completeness, readiness, project status, missing items, or expected work remaining is informational only unless expressly stated in a signed writing by Mini-Max USA.

The buyer is solely responsible for independent inspection, verification, repair, completion, registration, certification, and determination of suitability before use.

10. No Warranties

To the fullest extent permitted by law, Mini-Max USA disclaims all warranties, express or implied, including but not limited to any implied warranty of merchantability, implied warranty of fitness for a particular purpose, warranty of airworthiness, warranty of design suitability, warranty of safety, warranty of regulatory approval, warranty of future performance, warranty of completion time, warranty of completeness, warranty of compatibility, and warranty that any item will qualify for certification, inspection approval, registration, or lawful operation in any jurisdiction.

Unless expressly stated otherwise in a separately signed writing by Mini-Max USA, all goods, aircraft, kits, plans, projects, parts, materials, documents, information, website content, and services are provided AS IS, WHERE IS, WITH ALL FAULTS.

No verbal statement, website description, product listing, photo, video, email, text message, social media message, phone call, estimate, opinion, informal description, or other communication creates a warranty, guarantee, certification, approval, binding promise, or representation unless specifically included in a signed writing by Mini-Max USA.

11. Assumption of Risk

By purchasing from Mini-Max USA or using any Mini-Max USA product, plan, part, kit, project, material, service, or information, you knowingly and voluntarily assume all risks, known and unknown, arising out of or related to the design, sale, delivery, pickup, transport, storage, inspection, assembly, completion, modification, repair, maintenance, ownership, resale, transfer, testing, and operation of any purchased item or resulting aircraft.

Those risks include serious injury, death, property damage, financial loss, and claims brought by third parties.

12. Release of Liability

To the fullest extent permitted by law, you, on behalf of yourself and your heirs, estate, personal representatives, successors, assigns, family members, passengers, guests, invitees, insurers, and any person claiming by or through you, release, waive, discharge, and covenant not to sue Mini-Max USA and its owners, officers, directors, employees, agents, affiliates, contractors, licensors, successors, and assigns from any and all claims, causes of action, liabilities, demands, damages, losses, judgments, costs, and expenses of every kind arising out of or relating to:

  • Website use

  • Product listings

  • Orders and transactions

  • The sale, transfer, delivery, or provision of any item

  • The design, condition, quality, completeness, assembly, or use of any item

  • Kits, plans, parts, used aircraft, partial projects, or completed aircraft

  • Builder-assist, technical support, recommendations, or communications

  • Inspection, maintenance, modification, repair, transport, storage, testing, resale, transfer, or operation

  • Bodily injury, death, property damage, loss of use, loss of value, or other loss associated with any purchased item or resulting aircraft

This release applies to claims alleging negligence by Mini-Max USA or any released party to the fullest extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Mini-Max USA and its owners, officers, directors, employees, agents, affiliates, contractors, licensors, successors, and assigns from and against any claims, demands, lawsuits, liabilities, judgments, settlements, penalties, fines, losses, damages, costs, and expenses, including reasonable attorneys’ fees and costs, arising out of or relating to:

  • Your breach of these Terms

  • Your breach of any invoice, purchase agreement, addendum, or written transaction document

  • Your inspection, assembly, completion, modification, repair, maintenance, transportation, storage, testing, ownership, operation, lease, resale, transfer, instruction, or demonstration of any purchased item or resulting aircraft

  • Statements, listings, advertisements, or representations you make to any third party

  • Injury, death, or property damage involving you or any third party

  • Passengers, family members, guests, co-builders, mechanics, instructors, students, transporters, downstream purchasers, or permitted users

  • Deviation from plans

  • Substitution of materials

  • Engine, propeller, redrive, avionics, electrical, fuel system, or structural changes

  • Use of unapproved, substituted, altered, or different components

  • Title, tax, registration, licensing, certification, inspection, or regulatory issues

  • Resale, transfer, lease, training use, passenger use, downstream use, or later operation

  • Unauthorized copying, transfer, sharing, or use of Mini-Max USA proprietary materials

These obligations survive closing, delivery, transfer, termination, resale, downstream transfer, and any completion or operation of an aircraft or project.

14. Limitation of Liability

To the fullest extent permitted by law, Mini-Max USA and its owners, officers, directors, employees, agents, affiliates, contractors, licensors, successors, and assigns shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of use, loss of time, lost profits, loss of business opportunity, diminution in value, shipping or freight expenses, storage costs, hangar costs, mechanic costs, inspection costs, disassembly or reassembly costs, travel costs, or similar economic losses.

To the fullest extent permitted by law, Mini-Max USA’s total aggregate liability arising out of or relating to this website, these Terms, any order, any communication, any product, any service, or any transaction shall not exceed the total amount actually paid by the buyer to Mini-Max USA for the specific item or service giving rise to the claim.

15. Intellectual Property and License

All Mini-Max USA plans, drawings, manuals, templates, dimensions, patterns, CAD files, specifications, technical documents, website content, product descriptions, photographs, videos, graphics, logos, designs, trade names, trademarks, and other proprietary materials are owned by Mini-Max USA or its licensors unless otherwise stated.

Purchase of plans, drawings, manuals, templates, files, or other proprietary materials grants only a limited, personal, non-exclusive, non-transferable, revocable license to use those materials solely for the construction, maintenance, and ownership of one aircraft, unless Mini-Max USA expressly agrees otherwise in writing.

You may not copy, distribute, upload, publish, sell, sublicense, assign, share, transfer, reverse engineer, reproduce, scan, photograph, post online, or commercially exploit any Mini-Max USA proprietary materials without prior written consent from Mini-Max USA.

Unauthorized copying, sharing, or distribution may cause irreparable harm. Mini-Max USA may seek injunctive relief, damages, attorneys’ fees, and any other legal or equitable remedy available.

16. Confidential and Non-Public Information

Mini-Max USA may provide non-public information in connection with product support, purchasing, technical support, engineering review, pricing, product development, parts supply, manufacturing, vendor evaluation, or other business matters.

You may not disclose, publish, distribute, transmit, post online, or share Mini-Max USA confidential or proprietary information with any third party unless Mini-Max USA gives prior written permission.

Confidential information may include business plans, pricing, customer information, product specifications, drawings, plans, manuals, blueprints, CAD files, engineering data, manufacturing methods, prototypes, samples, designs, supplier information, financial information, website information, marketing information, and related materials.

17. Third-Party Products, Services, and Links

Mini-Max USA may sell, recommend, discuss, link to, or reference third-party products, engines, propellers, redrives, avionics, instruments, hardware, tools, materials, services, vendors, suppliers, websites, forums, videos, social media pages, or other resources.

Mini-Max USA does not control third-party products or services and is not responsible for their design, manufacture, safety, quality, compatibility, legality, availability, pricing, documentation, warranties, delays, or performance.

You are solely responsible for evaluating and verifying the suitability, compatibility, legality, and safe installation or use of any third-party product or service.

18. Regulatory Compliance, Taxes, and Fees

You are solely responsible for compliance with all applicable local, state, federal, and foreign laws, rules, regulations, aviation standards, registration requirements, certification requirements, inspection requirements, operating limitations, taxes, duties, tariffs, customs rules, import or export restrictions, and other governmental requirements.

Mini-Max USA does not guarantee that any kit, part, aircraft, plan, project, material, or completed aircraft will qualify for any particular category, certification, exemption, registration, inspection approval, operating status, or lawful use.

You are responsible for all taxes, registration fees, title fees, inspection fees, licensing fees, tariffs, duties, customs charges, and other governmental fees or charges arising from your purchase or downstream use unless Mini-Max USA expressly agrees otherwise in writing.

19. Website Use and Prohibited Conduct

You agree not to:

  • Use this website for unlawful, fraudulent, abusive, or harmful purposes

  • Interfere with website operation or security

  • Attempt unauthorized access to systems, accounts, files, or data

  • Upload malware, harmful code, or disruptive content

  • Copy, scrape, harvest, or commercially exploit website content

  • Misrepresent your identity, project, intended use, location, or payment information

  • Violate Mini-Max USA intellectual property rights

  • Share proprietary materials without authorization

  • Abuse, threaten, harass, defame, or interfere with Mini-Max USA, its employees, contractors, customers, suppliers, or community

  • Initiate improper chargebacks, payment reversals, or disputes

  • Use Mini-Max USA materials to compete with, copy, or harm Mini-Max USA

Mini-Max USA may restrict, suspend, or terminate access, refuse service, cancel orders, report misconduct, pursue collection, or take legal action if we believe these Terms have been violated.

20. Errors, Omissions, Pricing, and Availability

Mini-Max USA reserves the right to correct errors, inaccuracies, omissions, pricing mistakes, product descriptions, shipping estimates, availability information, specifications, and other content at any time without prior notice.

We may refuse, cancel, modify, or correct any order affected by an error, even after the order has been submitted or payment has been received, to the fullest extent permitted by law.

Product availability is not guaranteed. Materials, parts, suppliers, vendors, prices, production capacity, and shipping options may change without notice.

21. Force Majeure

Mini-Max USA shall not be liable for delay or failure to perform caused by events beyond our reasonable control, including material shortages, supplier delays, freight delays, weather, fire, flood, labor shortages, strikes, tariffs, customs delays, utility interruptions, acts of government, pandemics, transportation disruptions, equipment failures, vendor delays, or other force majeure events.

22. Electronic Communications and Signatures

You agree that communications, notices, invoices, agreements, disclosures, and records may be provided electronically.

Electronic signatures, electronic acknowledgments, checkout acceptance, email approvals, scanned documents, PDFs, and other electronic records may be valid, binding, and enforceable to the fullest extent permitted by law.

23. Governing Law

These Terms and any dispute arising out of or relating to this website, any order, any communication, any purchase, any product, any service, or any transaction with Mini-Max USA shall be governed by and construed under the laws of the State of South Dakota, without regard to conflict of laws principles.

24. Venue and Jurisdiction

To the fullest extent permitted by law, any lawsuit or court proceeding arising out of or relating to these Terms, this website, any order, any communication, any purchase, any product, any service, or any transaction with Mini-Max USA shall be brought exclusively in the state courts located in Pennington County, South Dakota, or, if federal jurisdiction exists, in the appropriate federal court sitting in South Dakota.

By using this website or purchasing from Mini-Max USA, you consent to personal jurisdiction and venue in those courts and waive any objection based on inconvenience of forum.

25. Waiver of Jury Trial

To the fullest extent permitted by law, you and Mini-Max USA knowingly and voluntarily waive any right to trial by jury in any action or proceeding arising out of or relating to these Terms, this website, any order, any communication, any purchase, any product, any service, or any transaction with Mini-Max USA.

26. Attorneys’ Fees and Costs

In any dispute arising out of or relating to these Terms, this website, any order, any communication, any purchase, any product, any service, or any transaction with Mini-Max USA, the prevailing party shall be entitled to recover reasonable attorneys’ fees, costs, and expenses to the fullest extent permitted by law.

27. Assignment

You may not assign, transfer, or delegate any rights or obligations under these Terms or any transaction with Mini-Max USA without our prior written consent. Any attempted assignment without consent is void.

Mini-Max USA may assign its rights or obligations to an affiliate, successor, purchaser of assets, or other party.

28. No Waiver

Mini-Max USA’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

29. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

30. Survival

The provisions relating to aviation risk, buyer responsibility, no warranties, as-is sales, releases, waivers, indemnification, limitation of liability, intellectual property, confidentiality, payment obligations, taxes, fees, governing law, venue, jury waiver, attorneys’ fees, and any other provision that by its nature should survive shall survive order completion, delivery, cancellation, termination, resale, transfer, downstream use, and website use.

31. Changes to These Terms

Mini-Max USA may update, revise, or replace these Terms at any time. Changes are effective when posted on this website unless otherwise stated.

Your continued use of this website or purchase from Mini-Max USA after changes are posted constitutes acceptance of the updated Terms.
